Referral Scheme Terms and Conditions

(For Individuals Not Employed by the Company)

1. Introduction

These Terms & Conditions (“Terms”) apply to the referral scheme (“Scheme”) operated by Ingenious Ltd (“Ingenious”), registered in England and Wales under company number 04050242, with its registered office in the footer below.
By participating in this Scheme, you (“Referrer”) agree to be bound by these Terms.

2. Eligibility

  • This Scheme is open to UK residents aged 18 or over.
  • Employees, contractors, or agents of Ingenious are not eligible for this incentive.
  • Referral payments will only be made for eligible referrals that result in a qualifying client engagement (see Section 3).

3. Qualifying Referrals

  • A qualifying referral is defined as a new business introduction:
    • That is not already in discussions with or known to Ingenious.
    • That results in a signed agreement for managed IT services with a minimum term of 12 months.
  • The referred business must sign the agreement within 3 months of the referral.

4. Referral Reward

  • Successful referrers will receive a cash reward of £1,000 (or an alternative reward as agreed).
  • Rewards will be paid by bank transfer within e.g. 30 days after the referred client has paid their first invoice.
  • The maximum reward payable to any individual is £1,000 per tax year (6 April to 5 April), unless otherwise agreed in writing.

5. Tax and Reporting

  • Any referral reward you receive may be considered personal income and could be taxable.
  • You are responsible for reporting this income to HMRC if applicable, and for complying with any tax obligations.
  • In some cases, you may be entitled to use the £1,000 Trading Allowance – seek advice from a tax professional if unsure.
  • Ingenious accepts no liability for your personal tax reporting or obligations.

6. Anti-Fraud & Compliance

  • Referrals must be made in good faith. Self-referrals, fictitious clients, or abuse of the Scheme will result in disqualification.
  • Ingenious reserves the right to:
    • Verify the legitimacy of any referral.
    • Refuse or withhold payment where it suspects fraud or non-compliance.

7. Privacy

  • You agree that your contact details may be stored for the purposes of managing the referral process and complying with financial and legal obligations.
  • Referrals should not be made in a way that breaches GDPR or marketing laws (e.g. spamming contacts).

8. Changes and Termination

  • Ingenious reserves the right to change, suspend, or withdraw the Scheme at any time without notice.
  • Any referrals received prior to such changes will be honoured under the Terms in effect at the time.

9. Governing Law

  • This Scheme and these Terms are governed by the laws of England and Wales. Disputes will be subject to the jurisdiction of the English courts.
